What is a transfer of shares?

A transfer of shares involves moving one or more shares from one person (the transferor) to another (the transferee), thereby changing the ownership of those shares. Transfers are often carried out in exchange for cash or other consideration, which may be subject to Stamp Duty.

How long does the transfer process take?

A share transfer typically takes 2-3 working days to complete. This includes the preparation of documents, signing by the relevant parties, and updating the company’s records.

If Stamp Duty is payable to HMRC, the process may take longer (see the Stamp Duty section below for more details). A confirmation statement can be submitted after the transfer to update Companies House immediately, though this is optional.

How does this service work?

What details do I need to provide to transfer shares?

To proceed, please provide your company name, registration number, and authentication code, along with the following details regarding your transfer:

• The name and address of the seller(s) of the shares

• The name and address of the buyer(s) of the shares

• The quantity of shares being transferred

• The consideration (amount paid) for each transfer

• The next share certificate number to be used

Can all types of shares be transferred?

Yes, any class of shares issued by a company can be transferred, provided the company’s articles of association do not impose restrictions.

Can I use this service if I didn’t register my company with Dragonfly Associates?

Yes, this service is available to all UK-registered companies, regardless of where they were originally incorporated.

Will I receive new share certificates?

Yes. A new share certificate will be provided with your completed documentation.

Is Stamp Duty payable on share transfers?

Stamp Duty applies to share transfers where the consideration exceeds £1,000. The buyer is responsible for paying Stamp Duty to HMRC within 30 days of the transfer. Failure to pay within this period may result in penalties from HMRC.

When will my documents be ready, and how will they be delivered?

Your documents will be prepared and emailed to you within 2-3 working days, provided we have all the necessary information. If we require additional details, we will contact you.

When will Companies House update the public record?

Details of share transfers appear on the public record when the company files its next confirmation statement.

It is not compulsory to file a confirmation statement immediately.
However, submitting one right after the transfer ensures Companies House has up-to-date shareholder information, which is particularly useful when opening a bank account or dealing with lenders.

How do I add a confirmation statement to my order?

How do I update my ‘People with Significant Control’ (PSC) at Companies House?

If the transfer affects the company’s People with Significant Control (PSC), you may need to update this at Companies House. Contact our team for assistance.
