A confirmation statement is a legal filing that every UK company must submit to Companies House at least once every 12 months. It enables companies to report changes and confirm several key aspects about the company, including:

  • Standard Industrial Classification (SIC) codes
  • Share capital and shareholders
  • Trading status of the company’s shares

It also confirms that all other information submitted to Companies House (e.g., details about directors and People with Significant Control) is accurate and up to date.

How often do I need to file a confirmation statement?

Every company is required to file at least one confirmation statement each year. While companies can submit multiple confirmation statements within a 12-month period, a minimum of one is mandatory.

Failure to file a confirmation statement may result in the company being struck off the Companies House register and its directors facing prosecution.

Frequently Asked Questions

When is my confirmation statement due?

Your confirmation statement must be filed no later than two weeks after the “made up to” date. The “made up to” date is either:

  • The anniversary of the last confirmation statement’s “made up to” date, or
  • Twelve months after the company’s incorporation if no confirmation statement has been filed yet.

If you are unsure of the due date, you can search for your company’s details on the Companies House service.

How long will it take to file my confirmation statement?

Standard Service: Filing is completed within 3 working days.
Express Service: Filing is completed within 1 working day.

What changes can be updated using a confirmation statement?

You can update the following information:

  • Trading status of shares
  • SIC codes
  • Share capital (e.g., make-up of shares, paid-up status)
  • Shareholders (e.g., names of shareholders and number of shares held)
  • Details of share transfers
What changes cannot be updated using a confirmation statement?

Updates to the following must be filed separately:

  • Registered office address
  • Director details
  • People with Significant Control (PSC)
What details do I need to provide to Dragonfly Associates to file my confirmation statement?

To start the process, we will require the following:

  • Your company name, number, and authentication code.

Afterward, you will be sent an online questionnaire asking:

  • Has there been a change in paid-up share capital?
  • Have there been any changes to shareholders (e.g., new members)?
  • Are there any other changes that need to be filed separately?
Can I use this service if I did not register my company with Dragonfly Associates?

Yes! Our Confirmation Statement Service is available to any company or limited liability partnership (LLP) registered in the UK. You do not need to have formed your company with Dragonfly Associates to use this service.

What should I do if Companies House sends a reminder?

If you receive a reminder, ensure that your confirmation statement is filed as soon as possible. Failure to comply may result in your company being struck off the register and directors facing prosecution.
If you believe the reminder was sent in error, check your company’s filing history using the Companies House service to confirm your status.

What is the confirmation statement review period?

The review period covers the time between:

  • The date of incorporation or the last “made up to” date, and
  • The “made up to” date of the current confirmation statement.

This period ensures that all changes to company information (e.g., new shareholders) are accurately reflected in the filing.

Do some changes need to be reported immediately to Companies House?

While most changes can wait for the confirmation statement, it is best practice to submit one promptly after significant changes, such as a transfer of shares. This ensures the public record remains up to date, which can be critical when dealing with banks, suppliers, or other stakeholders.
